1) These delivery terms and conditions come into effect between the seller and the customer immediately upon placing an order, whether verbal or written. The seller shall inform the customer of these terms and conditions on the website and in all order documents.

2) All prices are exclusive of VAT.

3) A special picking fee is added to each shipment and, where applicable, the customer is charged for packaging costs, such as pallets, pallet collars and special packaging.

4) Freight charges apply.

5) Damage in transit must be reported to the carrier. Damage in transit that is not reported before the carrier's complaint deadline cannot be compensated.

6) The responsibility for the goods passes to the carrier and the buyer when they are handed over by the seller, however, the goods only pass into the buyer's possession after full payment.

7) Product and business-related knowledge shared between the seller and the customer may not be used, or made available for competitive activities.

8) Both parties also undertake to ensure that sensitive information is not disclosed as a result of negligent behaviour.

9) The confidentiality liability between the seller and the customer applies to information handled jointly for at least 18 months from the last delivery of the item in question.

10) For customised products, liability only applies to, deviation from agreed workmanship or production defects. It is the customer's responsibility to check drawings in good time before the agreed start of production.

11) Signed orders for customised products cannot be cancelled without the consent of the seller.

12) Delivery is made as agreed when the order is placed, for goods in stock normally on the same or following day.

13) Prices stated in general documents or on the website are indicative and price changes can be made without extra notice.

14) Order acknowledgement and specific product documentation from the seller govern what has been agreed and it is the customer's responsibility to check. All documents from the seller are considered accepted 5 working days after they have been provided to the customer, if no party has previously objected.

15) It is the customer's responsibility to pay the seller within the specified payment period and the customer will be charged interest in the event of late payment.

16) If goods have damage or defects due to construction or have arisen during manufacture or other handling for which the seller is responsible, it is the seller's responsibility to replace the damaged goods.

17) It is the customer's responsibility to return the rejected goods at the seller's request and at the seller's expense.

18) In the event of an acknowledged complaint, replacement goods must be sent free of charge to the delivery address of the original delivery. If the customer wants the goods to be sent to another location, the seller has the right to charge the additional shipping cost.

19) When a replacement item is sent before the complaint is accepted, it will be charged pending analysis of the complained item. The length of the payment period must allow the goods to be returned, inspected and credited before the payment period expires. If the claim is accepted, the replacement goods, the return freight and the replacement freight shall be credited. If the complaint is not accepted, the invoice is due for payment.

20) The seller takes responsibility for the work and products
he/she has delivered. The guarantee cannot and shall not cover the services or products into which the delivered goods are inserted or assembled. This means that only the products supplied by the seller are covered by the guarantee.

21) In the event of a defect covered by the guarantee, it is the responsibility of both the seller and the buyer to minimise the total damage and its consequences. Additional damages caused by the use of a damaged or faulty product may be charged to the customer upon remedy.

22) If the product is a component assembled into a larger unit, the warranty applies only to the damaged product and not to work related to replacement.

23) Under no circumstances is the seller responsible for covering the costs of downtime or other consequential damage that the defect may have caused. The seller is not responsible for any spillage of liquids or other contents caused by the failure of the goods. Nor shall the seller be liable for damage to other people's property as a result of dropped or leaked contents.

24) In the event that the customer assembles the product into a larger unit or resells it in an undisturbed condition, the seller's obligation, with regard to warranty or other provisions, shall not change.

25) In the event that the customer assumes a greater delivery responsibility when reselling, this is at his own risk.

26) It is the responsibility of the user to check for leaks and function. It is also the responsibility of the user to check and, if necessary, retighten bolted joints.

27) Damage resulting from incorrect installation or use is not covered by the warranty.

28) The warranty period is 12 months and damage reported after the warranty period will not be compensated.

29) Grounds for exemption include extraordinary natural or social events that should not have been foreseen. Exemption from the obligations of the parties can only be invoked if the events are so serious that they make it impossible or seriously impede the ability of the respective parties to fulfil their obligations. In the event of a derogation or waiver of liability on the above grounds, it is the responsibility of both parties to minimise the damage.

30) Any excise duties incurred after the order has been placed as a result of a decision by the authorities will be charged in addition.

31) Any disputes between the parties will be resolved primarily by negotiation between the parties. If external assistance is required to resolve the dispute, and the parties cannot agree on arbitrators, it shall be settled by the general court.

32) Seller has the right to cancel placed orders if the cost of the product changes more than 5% from the date of order to the date of manufacture.
